TÉRMINOS Y CONDICIONES DE USO DE PLATAFORMA

RED NEGOCIOS

RedNegocios es una plataforma desarrollada por la Cámara de Comercio de Santiago para la evaluación de proveedores como apoyo a los procesos de compra y contratación de las empresas. Para ello, pone a disposición de los Usuarios herramientas que permiten mejorar la forma y calidad de información que los proveedores entregan a los posibles contratantes para facilitarles la toma decisiones informadas y estratégicas.

Los servicios de RedNegocios permiten a los Usuarios Registrados:

Presentar un registro personalizado de proveedores con un rango amplio de información. Desde los datos básicos requeridos hasta la documentación más compleja, garantizando una validación de su perfil permitiendo una visibilidad destacada ante posibles contratantes.
Presentar un análisis y precalificación a los posibles contratantes y clientes efectuado por un tercero a través de un exhaustivo sistema de evaluación que asegura calidad y fiabilidad antes de cualquier compromiso.
Presentar un monitoreo del desempeño y cumplimiento para demostrar que se cumple con las expectativas y estándares requeridos por los posibles contratantes y clientes.
Presentar una evaluación de riesgos legales, financieros, comerciales y de seguridad (HSEC) que permiten calificar la fortaleza y solidez de la empresa proveedora frente a sus mandantes.

RedNegocios se compromete a mantener los más altos estándares éticos y de conducta, fomentando prácticas empresariales responsables y transparentes. Adopta y promueve políticas y procedimientos robustos para la prevención de delitos, asegurando que todas sus actividades y operaciones se realicen en estricto cumplimiento de las leyes y regulaciones aplicables. Este compromiso es fundamental para construir y mantener la confianza de nuestros clientes, socios y la comunidad en general, reforzando nuestra reputación como un líder responsable en el mercado. Condiciones de Uso: Este instrumento.
Partes: En conjunto RedNegocios y Usuario Registrado.
Plataforma: Servicio en la nube provisto por RedNegocios que permite a los Usuarios interactuar con sus servicios.
RedNegocios: Plataforma electrónica online de la Cámara de Comercio de Santiago que permite evaluar y monitorear riesgos de proveedores y contratistas.
Servicios: Registro Básico y/o Registro Avanzado.
Usuario: Quien accede a esta Plataforma.
Usuario Comprador: Entidad que utiliza la Plataforma para adquirir bienes y servicios de Usuarios Registrados.
Usuario Registrado: Usuario que ha creado una cuenta para contratar y usar los servicios de RedNegocios.

El idioma oficial para todas las comunicaciones y contratos con RedNegocios será el español. Las traducciones proporcionadas son solo informativas. En caso de discrepancias entre la versión en español y traducciones a otros idiomas , la versión en español prevalecerá.

RedNegocios permite a los usuarios navegar, visitar y consultar la Plataforma sin generar obligaciones. Sin embargo, al utilizar la Plataforma y sus servicios asociados, el Usuario confirma haber leído, comprendido y aceptado estas Condiciones de Uso, estableciendo un contrato legalmente vinculante con RedNegocios. Esta aceptación incluye el cumplimiento de todas las leyes y regulaciones aplicables.

Se aconseja al usuario leer detenidamente estas Condiciones e imprimir o guardar una copia de las mismas para su referencia.

Al proporcionar o actualizar información, así como al contratar servicios adicionales, el usuario reafirma su consentimiento a estas condiciones y políticas.

Es responsabilidad del Usuario revisar periódicamente las modificaciones de estas Condiciones de Uso y comprender dichos cambios. El uso continuado de la Plataforma tras la publicación de actualizaciones implica la aceptación de los mismos. Si el usuario no está de acuerdo con alguna de las condiciones, debe dejar de usar la Plataforma y sus servicios inmediatamente y notificar a RedNegocios de manera oportuna.

Los servicios de RedNegocios están exclusivamente disponibles para usuarios que tengan la capacidad legal para contratar. Esto significa que los usuarios deben ser mayores de edad y contar con la capacidad jurídica necesaria según las leyes aplicables.

No podrán acceder a los servicios aquellos usuarios que hayan sido suspendidos temporalmente o inhabilitados definitivamente por RedNegocios. Las suspensiones temporales pueden resultar de incumplimientos menores de estas Condiciones de Uso, mientras que las inhabilitaciones definitivas pueden derivar de violaciones graves o repetidas.

Es importante que los usuarios comprendan que el incumplimiento de los requisitos legales o las políticas de la Cámara de Comercio de Santiago puede llevar a la pérdida de acceso a los servicios. Por lo tanto, se insta a los usuarios a asegurarse de cumplir con todas las condiciones establecidas para mantener su capacidad de utilizar la Plataforma y sus servicios asociados.

RedNegocios presta un servicio de inscripción, evaluación y acreditación de empresas proveedoras a través de su plataforma electrónica, la cual permite administrar y gestionar una base de proveedores, apoyando la eficiencia de las áreas de compras, abastecimiento y gestión estratégica, a la vez que minimiza los riesgos de la operación.

Los servicios que ofrece RedNegocios son sólo aquellos que al momento de contratarlos se encuentren disponibles en la Plataforma.

Descripción de los servicios.

RedNegocios pone a su disposición dos servicios, cada uno diseñado para satisfacer distintas necesidades de visibilidad, información y análisis dentro de la Plataforma:

Registro Básico: Su empresa será incluida en nuestro Directorio de Proveedores y el perfil de su empresa se enriquecerá con información verificada de fuentes oficiales. Todas las empresas compradoras que tengan contrato activo con RedNegocios podrán acceder a la información de su perfil.

El plan básico genera alertas a Compradoras sobre la base de la información proporcionada por Fuentes Públicas de información disponibles en línea y actualizadas diariamente.

Registro Avanzado: Su empresa será incluida en nuestro Directorio de Proveedores y el perfil de su empresa se enriquecerá tanto con información verificada de fuentes oficiales como con documentación acreditativa que Usted proporciona, permitiendo un monitoreo y evaluación más exhaustiva por parte nuestra. Las empresas compradoras que tengan contrato activo con RedNegocios podrá acceder a la información de tu perfil.

A través del Plan Avanzado se provee el servicio de recepción, validación, clasificación, digitalización y almacenamiento físico y virtual de la documentación tributaria, legal y comercial de la empresa proveedora.

Para conocer la lista completa de Fuentes Oficiales utilizadas por RedNegocios y el detalle de la documentación requerida para el Registro Avanzado consulte en www.rednegocios.cl/documentos-a-presentar.

En cualquier momento posterior a su registro, usted podrá actualizar la información de su empresa o cambiar el tipo de registro. Para cambiar de un Registro Básico a un Registro Avanzado, se requerirá el suministro de la documentación adicional pertinente y el pago de las tarifas aplicables al Registro Avanzado.

Alcance del Servicio.

Se hace presente que los servicios que presta RedNegocios se limitan exclusivamente a la inscripción, evaluación y acreditación de empresas proveedoras a través de la Plataforma.

Los servicios de RedNegocios, en ningún caso, constituyen una asesoría comercial, legal, contable o tributaria. RedNegocios tampoco interviene ni intermedia en los contratos que el Usuario Registrado celebra o mantiene con su respectivo mandante o empresa compradora.

El precio cubre la totalidad de los servicios y prestaciones detallados en el plan especificado en www.rednegocios.cl/tarifas. Los precios indicados no incluyen el Impuesto al Valor Agregado (IVA), el cual se añadirá en la factura final.

El costo de los servicios de RedNegocios se fija por un período de 12 meses, y el pago se realiza en su totalidad por adelantado al momento de la contratación. Si el Usuario Registrado decide rescindir el contrato de forma anticipada, no se efectuará ningún reembolso del monto. En el caso de haber realizado su pago en cuotas tarjeta de crédito se deberá pagar la totalidad del saldo restante hasta completar el período contratado.

RedNegocios enviará los documentos tributarios electrónicos al correo electrónico registrado por el Usuario Registrado al momento de su inscripción. Es responsabilidad del usuario asegurarse de que el correo electrónico proporcionado esté correcto y vigente para recibir dichos documentos.

Para contratar los servicios de RedNegocios deberá:

Ingresar con su usuario y contraseña a su perfil de RedNegocios.
Seleccionar el plan que desea contratar y agregarlo al carro de compra.
Seleccionar el medio de pago.
Confirmar haber leído y aceptado estas Condiciones de Uso y la Política de Tratamiento de Datos Personales.
Efectuar el pago del plan seleccionado.

Antes de efectuar el pago, RedNegocios mostrará en la pantalla un resumen del servicio a contratar, el medio de pago seleccionado y el valor total de la operación, incluyendo los impuestos.

Una vez materializado el pago, el contrato se entenderá perfeccionado para todos los efectos legales y contractuales.

RedNegocios enviará el comprobante de la compra junto con la boleta o factura en formato electrónico y se habilitarán los servicios correspondientes.

Salvo que se señale un medio diferente para casos u ofertas específicos, los servicios de RedNegocios se pagarán en pesos chilenos, de acuerdo con el valor de la UF correspondiente al día de pago, a través de los siguientes medios de pago:

Tarjeta de crédito bancarias Visa, Mastercard, Dinners Club International o American Express. Al pagar con tarjetas de crédito está la opción de pagar en cuotas.
Tarjetas de débito bancarias acogidas al sistema Redcompra, emitidas en Chile por bancos nacionales.
Transferencia Bancaria a la cuenta de la Cámara de Comercio de Santiago:

El pago con tarjetas de pago se realizará a través de WebPay, que es un sistema de pago electrónico, desarrollado por Transbank, que permite pagar nuestros servicios a través de Internet usando tarjetas de crédito y débito emitidas tanto en Chile como en el extranjero.

Hacemos presente que el módulo de WebPay no pertenece a RedNegocios, por lo que la continuidad de su prestación de servicios en el tiempo, así como el correcto funcionamiento de sus herramientas y botones de pago en línea, son de responsabilidad de WebPay y en ningún caso de RedNegocios.

Los Servicios son operados y proporcionados por RedNegocios y sus proveedores de servicios de hosting, conectividad y otros.

Los Servicios pueden incluir anuncios, los cuales pueden estar referidos al Contenido o información de los Servicios, preguntas hechas a través de dichos Servicios u otra información. El tipo y extensión de la publicidad de RedNegocios en los Servicios están sujetos a cambio. El Usuario acepta que RedNegocios y terceras partes emplacen publicidad en los Servicios.

El contenido disponible en RedNegocios será desactivado en caso de recibir una orden judicial sin entrar a calificar la naturaleza ni la pertinencia de la misma.

RedNegocios siempre podrá desactivar contenidos cuando, a su sólo juicio, considere que los contenidos publicados pueden provocar riesgo o dejar expuesto legalmente a RedNegocios.

Como Usuario Registrado, mantiene la propiedad de todos los datos, contenido e información que sube, transmite o procese a través de RedNegocios.

Al eliminar contenido de RedNegocios, se procederá a eliminar de forma similar a cuando se vacía la papelera de reciclaje en su equipo. Puede que los datos eliminados se mantengan en copias de seguridad por un plazo razonable, pero no estarán accesibles para terceros.

Al usar RedNegocios, Usted acepta expresamente que tratemos la información que proporciona, incluyendo datos personales, para prestar y mejorar nuestros servicios. También nos permite tratar información proveniente de fuentes oficiales para enriquecer el perfil de su cuenta.

El Usuario Registrado acepta que la información de su registro esté accesible para los Usuarios Compradores. Esto permitirá al Usuario Registrado visibilizar su empresa o negocio ante potenciales compradores o clientes de interés en relación con la actividad económica ofrecida, facilitando así la generación de nuevas relaciones comerciales. Además, acepta que la información de su registro esté accesible para usuarios compradores con contrato activo en RedNegocios, lo cual permitirá al usuario registrado visibilizar su empresa o su negocio a potenciales compradores o clientes de interés respecto de la actividad económica ofrecida, pudiendo generar nuevas relaciones comerciales.

Nos comprometemos a tratar su información exclusivamente para estos fines. Usted reconoce que su uso de RedNegocios y la interacción con otros usuarios generan datos que podemos utilizar para crear nuevas ofertas, estadísticas y modelos predictivos, protegiendo siempre su privacidad y cumpliendo con la ley.

Su uso continuado de la Plataforma implica su consentimiento a estas prácticas.

Por el presente acuerdo, usted acepta y reconoce que RedNegocios es el propietario de todos los derechos, títulos e intereses asociados a los Servicios, incluidos todos los derechos sobre la propiedad intelectual que actúen sobre ellos, independientemente de si los mencionados derechos están registrados o no y de donde existan.

Asimismo, reconoce que los Servicios pueden contener información considerada confidencial por RedNegocios y se compromete a no revelar dicha información sin el consentimiento previo por escrito de RedNegocios.

Usted acepta no eliminar, ocultar ni alterar los avisos de derechos sobre la propiedad, entre ellos, avisos de derechos de autor y de marcas registradas, tanto los incluidos en los Servicios como los que se facilitan como parte de estos. Salvo que RedNegocios le haya concedido la autorización expresamente por escrito, usted se compromete a que, durante el uso de los Servicios, no utilizará ninguna marca comercial, marca de servicio, nombre comercial o logotipo de ninguna empresa u organización en modo alguno que ocasionara confusión sobre el propietario o usuario autorizado de dichas marcas, nombres o logotipos.

RedNegocios le otorga una licencia personal, no exclusiva e intransferible para utilizar la Plataforma.

Salvo que RedNegocios lo autorice expresamente, usted acepta no vender, copiar, distribuir ni crear trabajos derivados basados en RedNegocios, en su totalidad o en parte.

El respeto del derecho a la protección de datos personales es muy importante para RedNegocios, para obtener información acerca de la Política de Tratamiento de Datos Personales de RedNegocios, consúltela en www.rednegocios.cl/politica-tratamiento-datos. La Política explica cómo RedNegocios trata su información y cómo protege su privacidad y cautela el derecho a la protección de datos personales cuando utiliza los Servicios. El usuario debe entender que a través del uso de los Servicios da su consentimiento a las diferentes formas de tratamiento de sus datos personales y de los archivos en RedNegocios de conformidad con los límites establecidos en la Política de Tratamiento de Datos.

Respecto de los datos propios de la empresa, utilizados para las evaluaciones y procesos propios del sistema, estos pueden ser compartidos con Proveedores que realizan tareas para nosotros o en nuestro nombre, o que nos brindan asistencia con nuestras operaciones, tales como proveedores de servicios que alojan u operan nuestras Plataformas, analizan datos y/o procesan información. Todo lo anterior siempre realizado bajo estrictas medidas y estándares de confidencialidad con terceros, al ser estos últimos, parte del proceso del servicio que entrega RedNegocios.

Usted es responsable de proteger su cuenta. La clave de acceso que Usted crea es personal e intransferible. No comparta su clave con terceros y manténgala en un lugar seguro.

Le recomendamos que use contraseñas “seguras” (contraseñas que utilizan la combinación de letras mayúsculas y minúsculas, números y símbolos) en su cuenta. RedNegocios no puede y no será responsable de cualquier pérdida o daño derivados del incumplimiento de los requisitos anteriores.

RedNegocios se compromete a hacer todo lo posible para que la Plataforma sea un sitio seguro, adoptando todas las medidas técnicas razonables para lograrlo. No obstante, la colaboración de los usuarios es fundamental para alcanzar un nivel óptimo de seguridad. Por lo tanto, el Usuario Registrado acepta notificar de inmediato a RedNegocios cualquier uso no autorizado de su cuenta o de la cuenta de otro Usuario, así como cualquier vulneración de seguridad que detecte. Esto puede hacerse a través del formulario de contacto disponible en la Plataforma.

RedNegocios no garantiza que el acceso al sitio sea ininterrumpido o esté libre de errores. Sin embargo, siempre procurará mantener los servicios en un uptime adecuado a los requerimientos de sus Usuarios y, en caso de producirse alguna falla, reestablecer el servicio con la mayor celeridad posible sin que por ello pueda imputársele algún tipo de responsabilidad. No se garantiza que los contenidos sean completamente seguros o estén exentos de corrupción, ataques, virus o cualquier otra interferencia de seguridad que pueda causar daños a tu equipo o datos.

En ningún caso RedNegocios o sus empleados, directores, agentes, o licenciantes serán responsables por cualquier daño directo, indirecto, incidental, especial, consecuente o punitivo que resulte de o esté relacionado con su acceso o uso de, o su incapacidad para acceder o usar, la Plataforma o sus servicios. Esto incluye, pero no se limita a, pérdidas financieras, daños a la reputación, pérdida de datos, interrupciones de trabajo, inexactitudes de contenido, o conductas de terceros.

La responsabilidad total de RedNegocios hacia Usted por todas las reclamaciones relacionadas con el uso de la Plataforma no excederá de la cantidad que haya pagado a RedNegocios durante los doce meses previos al reclamo inicial, independientemente de la forma del reclamo o la causa de la acción.

RedNegocios, sus empleados, y representantes de toda responsabilidad, no será responsable en caso de disputas entre Usuarios o reclamos de terceros, incluyendo costos legales que puedan surgir de tales disputas o reclamaciones.

Al utilizar RedNegocios, reconoce y acepta estas limitaciones como condiciones fundamentales para el acceso y uso de nuestros Servicios.

Estas Condiciones podrán ser modificadas por RedNegocios cuando lo considere oportuno. La versión más actualizada estará siempre disponible en https://www.rednegocios.cl/terminos-condiciones. Si usted es un Usuario Registrado, le informamos cualquier modificación que realicemos y que esté relacionada con un cambio en los derechos que Usted posee, un cambio en las tarifas, una alteración de los servicios ofrecidos, un cambio en sus responsabilidades y obligaciones, cambios en las políticas de uso, distribución o propiedad del contenido generado por Usted, o un cambio en nuestras Políticas de Tratamiento de Datos Personales, se lo notificaremos al correo electrónico que tiene asociado. Si se trata de cualquier otro asunto, podrá tomar conocimiento de las modificaciones a través de la revisión de estas Condiciones de Uso publicadas permanentemente en www.rednegocios.cl/terminos-condiciones.

Por el contrario, cuando se produzcan cambios significativos en los Servicios se lo notificaremos por alguno de los siguientes canales:

Correo Electrónico: Enviaremos una notificación detallada al correo electrónico asociado a su cuenta con al menos 30 días de anticipación antes de la implementación del cambio.
Panel de Usuario: Publicaremos un resumen de los cambios en su panel de control, visible al acceder a tu cuenta.
Notificaciones en la Plataforma: Mostraremos alertas de actualización dentro de la Plataforma con la misma antelación.
Actualización de estas Condiciones de Uso: Las Condiciones de Uso reflejarán los cambios, y la versión actualizada estará siempre disponible en la Plataforma antes de su entrada en vigor.

En caso de que no esté de acuerdo con los cambios propuestos a los Servicios, tiene el derecho de terminar su contrato con nosotros antes de que las nuevas Condiciones de Uso se apliquen, sin penalización alguna. Para hacerlo, simplemente contáctenos mediante los canales de comunicación disponibles indicando su decisión de terminar el contrato con un plazo de al menos 30 días.

Las Condiciones de Uso seguirán vigentes hasta que Usted o RedNegocios decida resolverlas.

En caso de que decida poner término al contrato deberá notificar a RedNegocios en cualquier momento enviando un correo a contacto@rednegocios.cl. Cuando RedNegocios recibe una solicitud de esta naturaleza, su cuenta será eliminada, sin embargo, seguirá rigiéndose por estas Condiciones de Uso en todo lo que sea aplicable a los Usuarios.

RedNegocios podrá poner término a su contrato en cualquier momento si:

Ha dejado de pagar los servicios que tienes contratados.
Ha incumplido alguna de las disposiciones de las Condiciones de Uso o has actuado de algún modo que demuestre que no tienes intención de cumplir tales disposiciones o que no puedes cumplirlas;
Provoca riesgo o deja expuesto legalmente a RedNegocios;
Así se lo exige a RedNegocios la ley o una resolución judicial;
La provisión de los Servicios ha dejado de ser comercialmente viable desde el punto de vista de la Cámara de Comercio de Santiago.
Ha cometido fraude, falsificación de información o cualquier otra acción ilícita que afecte la integridad del sistema o la confianza entre usuarios.
Ha utilizado los servicios de RedNegocios para actividades ilegales o contrarias a la moral y las buenas costumbres.
Ha incurrido en conductas que dañen la reputación o la imagen de RedNegocios o de la Cámara de Comercio de Santiago.
Ha revelado información confidencial de RedNegocios o de otros usuarios sin autorización.
Ha intentado acceder, interferir o comprometer la seguridad de la Plataforma, incluyendo ataques cibernéticos, hacking o cualquier otra forma de vulneración.
Ha utilizado la Plataforma para enviar spam, phishing, malware u otras prácticas abusivas.
Ha sido declarado en quiebra, insolvencia o esté sujeta a un procedimiento de reorganización o liquidación conforme a la Ley N° 20.720 de Reorganización y Liquidación de Empresas y Personas.
Ha transferido su cuenta o sus derechos y obligaciones bajo el contrato a un tercero sin el consentimiento previo y por escrito de RedNegocios.
Ha incurrido en violaciones de propiedad intelectual, utilizando la Plataforma para compartir o distribuir contenido protegido sin autorización.
Ha participado en conductas discriminatorias, de acoso o abuso hacia empleados de RedNegocios.
Ha intentado manipular, corromper o falsificar el sistema de calificaciones, comentarios y evaluaciones en la Plataforma.
Ha fallado repetidamente en cumplir con las normativas y políticas de seguridad establecidas por RedNegocios para proteger la integridad y confidencialidad de los datos.

Una vez finalizado el contrato RedNegocios procederá a desactivar el acceso del Usuario Registrado a la Plataforma. Toda la información almacenada durante el período de vigencia del contrato será tratada de la siguiente manera:

Retención de Información: RedNegocios retendrá la información del Usuario Registrado por un período de 5 años después de la terminación del contrato para cumplir con obligaciones legales y/o resolver posibles disputas. Esta información será mantenida de manera segura y solo será accesible por personal autorizado o por orden de autoridad administrativa o judicial.
Eliminación de Información: Finalizado el período de retención, toda la información será eliminada de manera segura y definitiva de nuestros sistemas, salvo que una ley aplicable requiera una retención más prolongada. Datos no personales y agregados podrán ser conservados por RedNegocios para análisis estadísticos y mejora de servicios, sin que dicha información pueda ser vinculada a ningún usuario específico.

RedNegocios notificará a los usuarios cualquier cambio en la política de tratamiento y retención de la información a través de los medios de comunicación establecidos en este contrato.

La aceptación de estas Condiciones de Uso implica el consentimiento del Usuario respecto al tratamiento de su información de acuerdo con lo descrito en esta cláusula.

Para realizar cualquier presentación, consulta o reclamo con ocasión del uso de RedNegocios o de los servicios contratados en él, podrás contactarnos directamente en contacto@rednegocios.cl.

Cuando RedNegocios deba contactarse contigo lo hará a través del correo electrónico, teléfono o el medio de contacto de preferencia que haya registrado.

Cualquier conflicto, disputa o reclamo que surja en relación con estas Condiciones de Uso, el uso de la Plataforma y los servicios proporcionados por esta será resuelto exclusivamente a través de los tribunales de justicia de Santiago de Chile, con renuncia expresa a cualquier otro fuero o jurisdicción que pudiera corresponder.

REDNEGOCIOS TERMS OF USE

RedNegocios is a platform developed by the Santiago Chamber of Commerce for the evaluation of suppliers to support the purchasing and contracting processes of companies. To this end, it provides Users with tools that allow them to improve the form and quality of information that suppliers deliver to potential contractors to facilitate their informed and strategic decision-making.

RedNegocios’ services allow Registered Users to:

Present a customized register of suppliers with a wide range of information. From the basic data required to the most complex documentation, guaranteeing a validation of your profile allowing outstanding visibility to potential contractors.

Terms of Use: This instrument.
Parties: Jointly RedNegocios and Registered User.
Platform: Cloud service provided by RedNegocios that allows Users to interact with its services.
RedNegocios: Online electronic platform of the Santiago Chamber of Commerce that allows evaluating and monitoring risks of suppliers and contractors.
Services: Basic Registration and/or Advanced Registration.
User: Whoever accesses this Platform.
Buyer User: Entity that uses the Platform to acquire goods and services from Registered Users.
Registered User: User who has created an account to contract and use the services of RedNegocios.

The official language for all communications and contracts with RedNegocios will be Spanish. The translations provided are for informational purposes only. In the event of discrepancies between the Spanish version and translations into other languages, the Spanish version shall prevail.

RedNegocios allows users to browse, visit and consult the Platform without generating obligations. However, by using the Platform and its associated services, the User confirms that they have read, understood and accepted these Terms of Use, establishing a legally binding contract with RedNegocios. This acceptance includes compliance with all applicable laws and regulations.

You are advised to read these Terms carefully and print or save a copy of them for your reference.

By providing or updating information, as well as by contracting additional services, the user reaffirms his/her consent to these conditions and policies.

It is the User’s responsibility to periodically review modifications to these Terms of Use and understand such changes. Your continued use of the Platform following the posting of updates constitutes acceptance of those updates. If the user does not agree with any of the conditions, he/she must stop using the Platform and its services immediately and notify RedNegocios in a timely manner.

RedNegocios’ services are exclusively available to users who have the legal capacity to contract. This means that users must be of legal age and have the necessary legal capacity under applicable laws.

Users who have been temporarily suspended or permanently disabled by RedNegocios will not be able to access the services. Temporary suspensions may result from minor breaches of these Terms of Use, while permanent disqualifications may result from serious or repeated violations.

It is important for users to understand that failure to comply with legal requirements or the policies of the Santiago Chamber of Commerce may lead to loss of access to services. Users are therefore urged to ensure that they comply with all the conditions set out in order to maintain their ability to use the Platform and its associated services.

RedNegocios provides a service of registration, evaluation and accreditation of supplier companies through its electronic platform, which allows administering and managing a supplier base, supporting the efficiency of the purchasing, supply and strategic management areas, while minimizing the risks of the operation.

The services offered by RedNegocios are only those that are available on the Platform at the time of contracting them.

Registration procedure.

To hire RedNegocios’ services, you need to register and create a profile.

To register, you must enter the Platform through www.rednegocios.cl, go to the register section and complete the registration form. On the registration form you must provide the following information:

User data: User email, password, names, surnames, position, email, type of telephone, town and telephone number.
General data of the company: Country, RUT/ID, company name, size of the company, type of person, type of incorporation, type of company, region, commune, street, number and postal code.
RedNegocios contact details: Country, RUT/ID, email, names, surnames, position, area of charge, type of telephone, locality and telephone number.
Tenders/Purchase contact details: Country, RUT/ID, email, names, surnames, position, area of charge, type of telephone, location and telephone number.
Bank account data: Country, bank, account type, account number.

Description of services.

RedNegocios offers two services, each designed to meet different needs for visibility, information and analysis within the Platform:

Basic Registration: Your company will be included in our Supplier Directory and your company profile will be enriched with verified information from official sources. All purchasing companies that have an active contract with RedNegocios will be able to access the information in their profile.

The basic plan generates alerts to Buyers based on information provided by Public Sources of information available online and updated daily.

Advanced Registration: Your company will be included in our Supplier Directory and your company profile will be enriched with both verified information from official sources and supporting documentation that you provide, allowing for more thorough monitoring and evaluation by us. Purchasing companies that have an active contract with RedNegocios will be able to access the information in your profile.

Through the Advanced Plan, the service of reception, validation, classification, digitization and physical and virtual storage of the tax, legal and commercial documentation of the supplier company is provided.

At any time after your registration, you may update your business information or change your registration type. To switch from a Basic Registry to an Advanced Registry, the provision of relevant additional documentation and payment of the fees applicable to the Advanced Registry will be required.

Scope of Service.

It is hereby noted that the services provided by RedNegocios are limited exclusively to the registration, evaluation and accreditation of supplier companies through the Platform.

The services of RedNegocios, in no case, constitute commercial, legal, accounting or tax advice. RedNegocios does not intervene or mediate in the contracts that the Registered User enters into or maintains with its respective principal or purchasing company.

The price covers all the services and benefits detailed in the plan specified in www.rednegocios.cl/tarifas. The prices indicated do not include Value Added Tax (VAT), which will be added to the final invoice.

The cost of RedNegocios’ services is fixed for a period of 12 months, and payment is made in full in advance at the time of contracting. If the Registered User decides to terminate the contract early, no refund of the amount will be made. In the event of having made your payment in credit card installments, the entire remaining balance must be paid until the completion of the contracted period.

RedNegocios will send the electronic tax documents to the email registered by the Registered User at the time of registration. It is the user’s responsibility to ensure that the email address provided is correct and current to receive such documents.

To hire the services of RedNegocios you must:

Log in with your username and password to your RedNegocios profile.
Select the plan you want to sign up for and add it to the shopping cart.
Select the means of payment.
Confirm that you have read and accepted these Terms of Use and the Personal Data Processing Policy.
Make the payment for the selected plan.

Before making the payment, RedNegocios will show on the screen a summary of the service to be contracted, the means of payment selected and the total value of the operation, including taxes.

Once the payment has been made, the contract will be understood to be perfected for all legal and contractual purposes.

RedNegocios will send the proof of purchase along with the receipt or invoice in electronic format and the corresponding services will be enabled.

Unless a different means is indicated for specific cases or offers, RedNegocios services will be paid in Chilean pesos, according to the value of the UF corresponding to the day of payment, through the following means of payment:

Bank credit card Visa, Mastercard, Dinners Club International or American Express. When paying with credit cards there is the option of paying in installments.
Bank debit cards under the Redcompra system, issued in Chile by national banks.
Bank Transfer to the account of the Santiago Chamber of Commerce:

Payment with payment cards will be made through WebPay, which is an electronic payment system, developed by Transbank, which allows you to pay for our services over the Internet using credit and debit cards issued both in Chile and abroad.

We inform you that the WebPay module does not belong to RedNegocios, so the continuity of its provision of services over time, as well as the correct functioning of its online payment tools and buttons, are the responsibility of WebPay and in no case of RedNegocios.

The Services are operated and provided by the Company and its hosting, connectivity and other service providers.

The Services may include advertisements, which may refer to Content or information on the Services, questions asked through the Services, or other information. The type and extent of RedNegocios’ advertising on the Services are subject to change. The User agrees that the Company and third parties may place advertising on the Services.

The content available on RedNegocios will be deactivated in the event of receiving a court order without qualifying the nature or relevance of the same.

RedNegocios may always deactivate content when, in its sole judgment, it considers that the published content may cause risk or leave RedNegocios legally exposed.

As a Registered User, you retain ownership of all data, content, and information that you upload, transmit, or process through RedNegocios.

When you delete content from RedNegocios, it will be deleted in a similar way to when you empty the recycle bin on your computer. Deleted data may be kept in backup copies for a reasonable period of time, but will not be accessible to third parties.

By using RedNegocios, you expressly agree that we may process the information you provide, including personal data, to provide and improve our services. It also allows us to process information from official sources to enrich your account profile.

The Registered User agrees that the information in their registration will be accessible to Buying Users. This will allow the Registered User to make their company or business visible to potential buyers or customers of interest in relation to the economic activity offered, thus facilitating the generation of new commercial relationships. In addition, you agree that the information in your registration is accessible to buyer users with an active contract in RedNegocios, which will allow the registered user to make your company or business visible to potential buyers or customers of interest with respect to the economic activity offered, being able to generate new business relationships.

We are committed to processing your information exclusively for these purposes. You acknowledge that your use of the Company and interaction with other users generates data that we may use to create new offers, statistics and predictive models, always protecting your privacy and complying with the law.

Your continued use of the Platform constitutes your consent to these practices.

You hereby agree and acknowledge that we are the owner of all right, title, and interest in and to the Services, including all intellectual property rights therein, regardless of whether or not such rights are registered and where they exist.

You further acknowledge that the Services may contain information deemed confidential by the Company and agree not to disclose such information without the prior written consent of the Company.

You agree not to remove, obscure, or alter any proprietary rights notices, including copyright and trademark notices, both contained in and provided as part of the Services. Except as expressly authorized in writing, you agree that during your use of the Services, you will not use any trademark, service mark, trade name, or logo of any company or organization in any manner that would cause confusion as to the owner or authorized user of such marks, names, or logos.

We grant you a personal, non-exclusive, non-transferable license to use the Platform.

Except as expressly authorized, you agree not to sell, copy, distribute, or create derivative works based on the Company, in whole or in part.

Respect for the right to personal data protection is very important for RedNegocios, for information about RedNegocios’ Personal Data Processing Policy, please consult it in www.rednegocios.cl/politica-tratamiento-datos. The Policy explains how we process your information and how we protect your privacy and protect your right to personal data protection when you use the Services. The user must understand that through the use of the Services he/she consents to the different forms of processing of his/her personal data and files in RedNegocios in accordance with the limits established in the Data Processing Policy.

You are responsible for protecting your account. The access code you create is personal and non-transferable. Do not share your key with third parties and keep it in a safe place.

We recommend that you use “strong” passwords (passwords that use the combination of upper and lower case letters, numbers, and symbols) on your account. We cannot and will not be liable for any loss or damage arising from failure to comply with the above requirements.

RedNegocios undertakes to do everything possible to make the Platform a secure site, adopting all reasonable technical measures to achieve this. However, user collaboration is essential to achieve an optimal level of security. Therefore, the Registered User agrees to immediately notify the Company of any unauthorized use of his/her account or the account of another User, as well as any security breach that he/she detects. This can be done through the contact form available on the Platform.

RedNegocios does not guarantee that access to the site will be uninterrupted or error-free. However, it will always try to maintain the services in an appropriate uptime to the requirements of its Users and, in the event of any failure, to re-establish the service as quickly as possible without being held liable. The content is not guaranteed to be completely secure or free from corruption, attacks, viruses, or any other security interference that may cause damage to your computer or data.

In no event shall the Company or its employees, directors, agents, or licensors be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from or related to your access to or use of, or your inability to access or use, the Platform or its services. This includes, but is not limited to, financial loss, reputational damage, loss of data, work interruptions, content inaccuracies, or conduct of third parties.

RedNegocios’ total liability to You for all claims related to the use of the Platform shall not exceed the amount You have paid to RedNegocios during the twelve months prior to the initial claim, regardless of the form of the claim or the cause of action.

We shall not be liable in the event of disputes between Users or claims by third parties, including legal costs that may arise from such disputes or claims.

By using the Company, you acknowledge and agree to these limitations as fundamental conditions to your access to and use of our Services.

These Conditions may be modified by RedNegocios when it deems it appropriate. The most up-to-date version will always be available on https://www.rednegocios.cl/terminos-condiciones. If you are a Registered User, we inform you of any modification we make that is related to a change in the rights you hold, a change in fees, an alteration of the services offered, a change in your responsibilities and obligations, changes in the policies of use, distribution or ownership of the content generated by you, or a change in our Personal Data Processing Policies, we will notify you to the email associated with it. If it is any other matter, you may become aware of the modifications through the revision of these Terms of Use permanently published in www.rednegocios.cl/terminos-conditions.

Conversely, when there are significant changes to the Services, we will notify you through one of the following channels:

Email: We will send detailed notification to the email associated with your account at least 30 days in advance of the implementation of the change.
User Panel: We will post a summary of the changes in your dashboard, visible when you log in to your account.
Platform Notifications: We will display update alerts within the Platform with the same notice.
Updating these Terms of Use: The Terms of Use will reflect the changes, and the updated version will always be available on the Platform prior to its entry into force.

In the event that you do not agree with the proposed changes to the Services, you have the right to terminate your contract with us before the new Terms of Use take effect, without penalty. To do so, simply contact us through the available communication channels indicating your decision to terminate the contract within a period of at least 30 days.

The Terms of Use will remain in force until you or RedNegocios decides to terminate them.

In the event that you decide to terminate the contract, you must notify RedNegocios at any time by sending an email to contacto@rednegocios.cl. When RedNegocios receives a request of this nature, your account will be deleted, however, it will continue to be governed by these Terms of Use in everything that is applicable to Users.

RedNegocios may terminate your contract at any time if:

It has stopped paying for the services you have contracted.
You have breached any provision of the Terms of Use or acted in any way that demonstrates that you do not intend to comply with or are unable to comply with such provisions;
Causes risk or legally exposes RedNegocios;
This is required of RedNegocios by law or a judicial resolution;
The provision of the Services is no longer commercially viable from the point of view of the Santiago Chamber of Commerce.
You have committed fraud, falsification of information, or any other unlawful action that affects the integrity of the system or trust between users.
You have used the services of RedNegocios for illegal activities or activities contrary to morality and good customs.
Has engaged in conduct that damages the reputation or image of RedNegocios or the Santiago Chamber of Commerce.
You have disclosed confidential information of RedNegocios or other users without authorization.
You have attempted to access, interfere with, or compromise the security of the Platform, including cyberattacks, hacking, or any other form of breach.
You have used the Platform to send spam, phishing, malware, or other abusive practices.
It has been declared bankrupt, insolvent or is subject to a reorganization or liquidation proceeding pursuant to Law No. 20,720 on the Reorganization and Liquidation of Companies and Persons.
You have transferred your account or your rights and obligations under the contract to a third party without the prior written consent of RedNegocios.
You have incurred in intellectual property violations, using the Platform to share or distribute protected content without authorization.
Has participated in discriminatory, harassing or abusive conduct towards RedNegocios employees.
You have attempted to manipulate, corrupt or falsify the system of ratings, comments and evaluations on the Platform.
It has repeatedly failed to comply with the regulations and security policies established by RedNegocios to protect the integrity and confidentiality of data.

Once the contract has ended, RedNegocios will proceed to deactivate the Registered User’s access to the Platform. All information stored during the term of the contract will be treated as follows:

Information Retention: We will retain the Registered User’s information for a period of 5 years after the termination of the contract to comply with legal obligations and/or resolve possible disputes. This information will be kept securely and will only be accessible by authorized personnel or by order of an administrative or judicial authority.
Deletion of Information: At the end of the retention period, all information will be securely and permanently deleted from our systems, unless a longer retention is required by applicable law. Non-personal and aggregated data may be kept by RedNegocios for statistical analysis and improvement of services, without such information being linked to any specific user.

RedNegocios will notify users of any change in the information processing and retention policy through the means of communication established in this contract.

Acceptance of these Terms of Use implies the User’s consent to the processing of their information in accordance with the provisions of this clause.

Any conflict, dispute or claim arising in relation to these Terms of Use, the use of the Platform and the services provided by it will be resolved exclusively through the courts of justice of Santiago de Chile, expressly waiving any other jurisdiction or jurisdiction that may correspond.
